Terms of Service

Please read these terms carefully before using the KitchenCleared platform. By creating an account or using our services, you agree to be bound by these terms.

1. About KitchenCleared

These Terms of Service (“Terms”) govern your use of the KitchenCleared platform and services (“Services”) provided by CobTech Ltd, a company registered in England and Wales (“KitchenCleared”, “we”, “us”).

KitchenCleared provides a software platform and associated services to help restaurant businesses in England and Wales manage company formation, licensing applications, and regulatory compliance.

2. Acceptance of Terms

By registering for an account, accessing, or using our Services, you confirm that you are at least 18 years old, have authority to enter into this agreement (including on behalf of any business entity), and agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use our Services.

3. Our Services

KitchenCleared provides a compliance tracking platform, document templates, licensing guidance, and related advisory services for restaurant businesses. Specific features depend on the subscription plan selected.

Important: The information and guidance provided by KitchenCleared is for informational purposes and does not constitute legal advice. We recommend you seek independent legal advice for complex regulatory or legal matters.

4. Compliance Checklist — No Guarantee of Completeness or Accuracy

KitchenCleared provides a compliance checklist that is algorithmically generated based on the information you supply about your business (including business type, stage, premises details, and applicable licences). This checklist is intended as a helpful starting point to assist you in identifying common regulatory requirements. It is not, and does not purport to be, an exhaustive or authoritative statement of all legal and regulatory obligations applicable to your business.

You bear sole and full responsibility for ensuring that your business complies with all applicable laws, regulations, licences, and permit conditions, regardless of whether any particular obligation appears on your KitchenCleared checklist. The absence of a task from your checklist does not mean the underlying obligation does not apply to you.

KitchenCleared expressly excludes all liability for any fines, financial penalties, enforcement actions, prosecution, licence revocation, business closure, or any other regulatory or legal consequence arising from:

  • A compliance task, obligation, or deadline being absent from, or incorrectly described in, your checklist;
  • A task generated by the platform being incomplete, inaccurate, or not up to date with the latest regulatory requirements;
  • Your failure to complete any task, whether or not it appears on your checklist; or
  • A task being marked as “Not Relevant” — any such determination is made at your sole discretion and risk, and KitchenCleared accepts no liability for consequences arising from that decision.

You are strongly advised to consult with a qualified solicitor, licensing consultant, or relevant regulatory authority to confirm the full extent of your compliance obligations before opening or operating your business.

5. Account Registration

You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at hello@kitchencleared.com if you suspect any unauthorised use of your account.

6. Subscriptions and Billing

Free plan: Available at no cost with limited features. No payment information required.

Paid plans: Billed monthly or annually in advance. Prices are displayed in GBP and include VAT where applicable.

Upgrades: Take effect immediately. You will be charged a prorated amount for the remainder of the billing period.

Downgrades and cancellations: Take effect at the end of the current billing period. No refunds are issued for partial periods.

Failed payments: We will attempt to notify you before suspending access. Access to paid features will be suspended if payment cannot be collected after a reasonable retry period.

7. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Submit false or misleading information about your business
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of our platform
  • Resell or sublicence access to the Services without our written consent
  • Use automated means to scrape or extract data from the platform

8. Intellectual Property

All content, software, templates, and materials on the KitchenCleared platform are owned by or licenced to CobTech Ltd. You may use documents generated by the platform for your own business purposes. You may not copy, redistribute, or commercially exploit our platform content without our express written permission.

You retain ownership of all data and content you upload to the platform. You grant us a limited licence to use that data solely to provide the Services to you.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, except as required by applicable law. We do not warrant that the Services will be uninterrupted, error-free, or that guidance provided will be complete or up to date with the latest regulatory changes.

You are responsible for verifying the accuracy of any regulatory information before acting on it and for ensuring your business meets all applicable legal requirements.

10. Limitation of Liability

To the maximum extent permitted by law, KitchenCleared's total liability to you for any claims arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you in the 12 months preceding the claim.

KitchenCleared shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, revenue, data, or business opportunity, even if advised of the possibility of such damages.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless KitchenCleared and its directors, employees, and agents against any claims, losses, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

You may close your account at any time by contacting us or using the account settings. We may suspend or terminate your access if you violate these Terms, with or without notice depending on the severity of the breach.

On termination, your access to paid features will cease immediately (or at the end of the billing period for voluntary cancellations). We will retain your data for 90 days before deletion, giving you time to export it.

13. Changes to These Terms

We may update these Terms from time to time. We will give you at least 30 days' notice of material changes by email or via the platform. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection law in your country of residence applies.
